STANDARD TERMS & CONDITIONS
Term of Reference
- All work carried out by Paradox8 associates and sub-contractors will be in accordance with the agreed terms of reference for the assignment as contained in each proposal unless any revision is agreed by both parties in writing.
Charges
- Fees charged on an assignment are based on the time spent by Paradox8, associates and sub-contractors. Fees quoted exclude VAT. Rates take into account the type of work to be undertaken, as well as the level and complexity of work.
- The fee structure for the assignment will be negotiated and agreed upon before the assignment commences together with the fee payment schedule.
Payment
- Invoices will be presented in accordance with the payment schedule and are payable on presentation.
- Interest will be charged at prime on accounts overdue by 30 (thirty) days.
Confidentiality
- Paradox8 and its sub-contractors will keep confidential all information obtained by them from the client and all reports, advice, recommendations etc. proposed by the Paradox 8 under this agreement unless the information is in the public domain.
- Paradox8 has the right to use the name of the client as a reference in proposals or in other similar submissions to other prospective clients unless the client concerned expressly forbids such disclosure.
- The client agrees to keep confidential any methodology and / or technology used by Paradox8 and its subcontractors in carrying out an assignment.
Deposit
- Should the assignment take the form of a conference or training workshop, a 40% deposit may be required upon confirmation.
Cancellation and Postponement
- Verbal confirmation of an assignment shall be deemed binding. Should an assignment be cancelled within thirty days before the planned commencement date, a 50% cancellation fee shall be payable.
- Should cancellation be within fifteen days of the planned commencement date, a 100% cancellation fee shall be payable.
- Should an assignment be postponed more than thirty days after confirmation, this will attract a postponement fee of 40%, and 80% if it is within fifteen days of the commencement date.
- However, postponement fees may be treated as a deposit on the postponed assignment provided it is rescheduled to commence within two months of the previous date booked.
Validity
- All proposals are valid for 60 (sixty) days from the date of issue, unless otherwise indicated. The Standard Terms & Conditions, read together with the proposal shall form the sole basis of the contract.
